This Service Policy (“Policy”) governs all projects, services, and deliverables provided by Shashwat Technologies (“Company”), including website development, software development, SaaS solutions, UI/UX design, automation, integrations, branding, and technology consulting.
By engaging with Shashwat Technologies and/or approving any proposal, quotation, or SOW, the client (“Client”) agrees to the terms below.

1. Scope of Services
1. The Company provides technology services including (but not limited to):
- Website & Web App Development
- Custom SaaS / Product Development
- UI/UX Design
- API Development & Integrations
- Automation & AI Solutions
- Branding & Marketing Assets (only when included in scope)
- Hosting / Deployment Support (as per SOW)
2. The exact scope, features, timelines, deliverables, and responsibilities are defined in the approved Proposal / Quotation / SOW for each project.
3. Any requirement not explicitly mentioned in the approved scope is out-of-scope and will require a separate estimate and written approval.
2. Project Timelines & Delivery
1. Timelines are shared in the approved SOW and depend on:
- Timely content/assets from the Client
- Timely approvals and feedback
- Change Requests (CRs)
- Technical or third-party constraints outside Company control
2. Client-side delays (content, approvals, access, payments) automatically extend timelines without penalty to the Company.
3. Deliverables are generally shared in milestone phases such as:
- Wireframing
- Design
- Development
- Testing
- Deployment
4. Deployment will be performed only after:
Final approval for that stage, and
Full payment for that stage (or the full project), as per the agreed payment terms.
3. Client Responsibilities
To ensure smooth execution, the Client must provide:
- Accurate and timely project requirements
- All required content, images, documents, and branding files
- Access to necessary platforms (hosting, domain, CRM, ad accounts, etc.)
- A single point of contact for approvals and decisions
- Timely feedback and confirmations
Failure to provide the above may delay delivery without liability on the Company.
4. Payment Terms
Unless otherwise agreed in writing:
1. 50% Advance Payment (Non-Refundable) to initiate the project
2. 50% Final Payment before final delivery / deployment / handover
For monthly retainers, SaaS, AMC, or support:
Invoices are payable within 7 days from the invoice date
Work may be paused if invoices are overdue
5. Payment Collection & Penalty Terms
To maintain project continuity:
1. All invoices are due within 7 days of the invoice date.
2. Work may be paused if payment is delayed beyond 10 days.
3. Deployment, handover, and source-code release will not occur until all dues are cleared.
4. If payment remains overdue for 14+ days, the Company may (at its discretion):
- Suspend access (including staging/admin/tools), and/or
- Revoke temporary deliverables or licenses, and/or
- Terminate the project, and/or
- Initiate recovery action as per applicable law.
6. Refund & Cancellation Policy
Refunds are not applicable once work has started, due to resource allocation, time investment, and intellectual property usage.
6.1 Advance Payment
The 50% advance is strictly non-refundable, regardless of cancellation or withdrawal by the Client.
6.2 Mid-Project Cancellation by Client
If the Client cancels after work has begun:
- Payments made remain non-refundable
- Any approved and pending milestone payment becomes immediately payable
- The Company is not obligated to deliver partially completed assets
6.3 Cancellation by Company
In rare cases where the Company terminates (e.g., breach, unethical use, non-payment, misconduct):
- Work completed up to the termination date will be billed
- Any refund (if applicable) is at the Company’s discretion
- All access/licenses granted may be revoked
6.4 Change of Mind
Refunds are not applicable for:
- Change of mind
- Budget issues
- Delays caused by Client-side dependencies
7. Change Requests (CR) & Additional Work
1. What counts as a Change Request (CR):
Any feature, design, integration, modification, or requirement not explicitly included in the approved Proposal/SOW.
2. CR Submission & Review:
- CRs must be submitted in writing (email or ticket).
- The Company will evaluate feasibility and impact on scope, timeline, and cost.
- A revised estimate/quotation will be shared.
- No CR will be executed without written approval from the Client.
3. Separate Billing:
- All CRs are billed separately from the original project cost.
- Pricing depends on complexity, effort, and dependencies.
4. Timeline Impact:
- Approved CRs extend timelines automatically.
- Revised timelines will be communicated prior to execution.
- Delays due to CR discussions/approvals are not attributable to the Company.
5. CR Cancellation After Start:
- Once a CR is approved and work begins, cancellation is not permitted.
- CR payment becomes due as agreed, regardless of later strategy changes.
6. Post-Deployment Requests:
Any requirement raised after deployment/final delivery is treated as a new CR or a new project, depending on scope.
7. Common Out-of-Scope Examples (unless included in SOW):
- Additional pages/modules/dashboards
- New integrations (CRM, payment gateways, third-party APIs)
- Redesigning already approved UI/UX screens
- New workflows/automations/admin features/reports
- Architecture or hosting changes
- Post-approval changes and post-deployment revisions
8. Delayed CR Approvals:
If a CR remains unapproved for 7 days or more, the Company may:
- Pause the project and/or reschedule timelines, and/or
- Invoice for completed original milestone work.
9. Scope Protection & Feasibility:
The Company is not obligated to execute CRs that:
- Risk system stability
- Are technically impractical
- Violate security/compliance standards
8. IP Ownership & Licensing
8.1 Ownership After Full Payment
- Final deliverables become the Client’s property only after 100% payment is received.
- Until then, all work remains the intellectual property of Shashwat Technologies.
8.2 Reusable Company Components
The Company may use pre-built modules, internal libraries, reusable components, frameworks, and backend structures. These remain Company IP and are licensed, not sold.
8.3 Source Code Access
Source code will be handed over only:
- After full payment, and
- If source-code handover is included in the SOW
8.4 Restrictions
The Client may not:
- Resell Company IP
- Copy proprietary internal modules for unrelated projects
- Claim authorship of proprietary Company assets
9. Warranty & Support
1. The Company provides 7–14 days post-launch support (as per SOW).
2. Bugs arising due to new change requests, third-party updates, or external integrations are not covered under warranty.
3. Ongoing support/AMC/enhancements require a separate contract.
10. Escalation Matrix
All escalations must be documented via email for tracking.
Level 1 — Project Manager: Response within 24 hours
Level 2 — Senior Management: Response within 48 hours
Level 3 — Founder, Shashwat Technologies: Final resolution authority

11. Confidentiality
Both parties must maintain strict confidentiality of shared data, credentials, documents, and business information. The Company follows internal NDA and data protection practices for secure handling of Client information.

12. Liability Limitation
The Company is not liable for:
- Client-side delays
- Third-party dependencies (hosting, APIs, plugins, CRM tools)
- Server downtimes
- Misuse of deliverables
- Loss caused by unauthorized access or external vulnerabilities
Total liability is strictly limited to the amount paid by the Client for the specific service in question.
13. Termination of Services
The Company may terminate services if:
- Payments are delayed
- The Client engages in unethical/illegal activities
- Repeated scope violations or non-cooperation occurs
- Abuse or misconduct toward team members occurs
Upon termination:
- All dues become immediately payable
- Access/licenses may be revoked
- No refunds will be issued
14. Governing Law & Dispute Resolution
This Policy is governed by the laws of India. Disputes shall be resolved through arbitration under the Arbitration & Conciliation Act, 1996, with jurisdiction at Ahmedabad, Gujarat.
15. Policy Updates
Shashwat Technologies may update this Policy at any time. Updated versions may be published on the Company website and will apply to all new and ongoing projects.
